Job Description

We are seeking an experienced mid-level in house Counsel. You will be working closely with Mirantis’ General Counsel and legal team advising on a wide range of matters across the company, both US and international, in areas such as commercial transactions regarding AI enablement and open source space, vendor contracts privacy/data protection and more.

As a key member of the Mirantis legal team you will interface with all Mirantis team members to drive business results, manage risk, and help ensure compliance across all areas of the company. To do this you will need an entrepreneurial mindset with the ability to think strategically, influence stakeholders, and enthusiastically get in the trenches and execute when things need to get done.

Job Description

Draft and implement transaction playbooks and integration checklists

Manage the company’s and its subsidiaries’ corporate legal affairs domestically and internationally

Draft, negotiate, and review a broad range of commercial and vendor agreements, mostly from the U.S. but may also include international exposure.

Review Vendor and contractor agreements

Assist Data Protection Officer in review and update of Data Processing Addenda and other documents.

Support training efforts to educate internal teams on legal standards and regulatory expectations

Work cross functionally with business teams across the company to analyze legal risks, devise creative solutions and develop strong, trusted advisor relationships.

Collaborate with General Counsel to update templates.

Partner with sales, channel sales, services, training, and product teams to help craft deals that conform with Mirantis practices and customer requirements while ensuring obligations are clearly documented.

Qualifications

  • Experience reviewing, drafting and negotiating commercial contracts, including but not limited to software licenses (SaaS and on premises), professional services, reseller and referral agreements, and vendor/supplier contracts. Familiarity with open source and AI is preferred.
  • Understanding of intellectual property, licensing, SaaS, revenue recognition, privacy and other legal matters that arise in the connect of commercial transactions.
  • Strong commercial sensibilities, and ability to work closely with business people on their terms, and to negotiate some commercial terms as well as legal terms. Strong contract analysis, drafting and negotiation skills. Excellent communication skills (verbal and written).
  • 3-5 years’ overall legal experience. At least 3 years’ experience negotiating commercial contracts, preferably in an in-house role with a software (SaaS or open source) or technology-oriented company.
  • Able to provide quick, concise and practical advice consistent with Mirantis business objectives and processes, while ensuring business needs are met.
  • Able to work and act decisively in a fast-paced, high activity environment; comfortable in managing and responding to messages quickly and balancing multiple deals at one time.
  • Team attitude that no job is too big or too small. Strategic and pragmatic thinking.
  • Excellent judgment, attention to detail and ability to work both independently and as part of a team are a must; strong organizational, project management and interpersonal skills.
  • Experience supporting business units in Canada, EU or APAC is a plus.

Requirements:

Brief Description

The Director, Corporate and Securities reports to the Executive Director, Corporate and Securities, and is a key member of the team for the Legal department. The Director, Corporate and Securities will provide leadership on a wide range of corporate, securities, and governance matters. The responsibilities will include all securities matters for a publicly traded company, including ensuring compliance with SEC and Nasdaq rules and regulations; preparing and reviewing SEC filings; assisting with matters related to the board of directors; and advising on corporate governance, investor relations, and executive compensation.

Essential Functions/Responsibilities

Securities and Corporate Governance

  • Ensure compliance with federal and state securities laws, with focus on ’34 Act and ’33 Act reporting, Nasdaq compliance, Regulation FD and insider trading.
  • Prepare and/or review all SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statement and section 16 filings as well as registration statements.
